By accessing or using the Bseech platform (the "Platform"), you expressly acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to any provision of these Terms, you are prohibited from using the Platform.

Your continued use of the Platform following any amendments constitutes your acceptance of such changes. Bseech reserves the right to modify these Terms at any time, with notice provided via email or platform notification.

IMPORTANT: To open an account, you must complete identity verification. Bseech is required by law to collect, verify, and report certain identifying information to comply with anti-money laundering (AML), counter-terrorism financing (CTF), and Internal Revenue Service (IRS) regulations.

• Individual Users: You must provide a valid government-issued photo ID (passport, driver's license, or national ID) AND your Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN).
• Business/Entity Users: You must provide EIN (Employer Identification Number), articles of incorporation, and beneficial ownership disclosures.
• IRS Reporting: You authorize Bseech to file Forms 1099-K, 1099-MISC, or other information returns with the IRS as required by law, based on your transactional activity.
• Verification Failure: Bseech reserves the absolute right to reject, suspend, or terminate any account that fails to provide satisfactory identification or that provides false, expired, or fraudulent documentation.
• Data Retention: Verification records will be retained for a minimum of five (5) years following account closure, as required under 31 CFR § 1010.410.

You represent and warrant that all identification documents provided are authentic, unexpired, and belong to you. Impersonation or identity fraud is a criminal offense and will be reported to law enforcement.

Upon successful identity verification, you will be issued a user account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to notify Bseech immediately of any unauthorized access or breach of security. Bseech shall not be liable for any loss or damage arising from your failure to protect your account credentials.

You agree to use the Platform only for lawful purposes. Prohibited conduct includes, but is not limited to:

• Money laundering, terrorist financing, or any transaction involving sanctioned persons/entities (OFAC compliance).
• Fraud, identity theft, or providing false identification information.
• Tax evasion or failure to report income derived from Platform activities.
• Reverse engineering, scraping, or disrupting Platform operations.
• Violating any applicable local, state, federal, or international law.

Bseech provides a marketplace/platform for [describe services]. All fees (transaction, withdrawal, service fees) are disclosed in our Fee Schedule, which is incorporated herein by reference.

Bseech reserves the right to modify fees upon 30 days' notice. Fees are non-refundable except as expressly required by law.

Funds may be held in a third-party escrow account pending transaction completion. Bseech may be required to withhold taxes (e.g., backup withholding under IRC §3406) if you fail to provide a certified Taxpayer Identification Number (TIN) or if the IRS notifies us of underreporting.

You are solely responsible for reporting and paying all taxes arising from your use of the Platform. Bseech acts as a payment settlement entity (PSE) and will report gross payments to you as required under IRC 6050W.

All content, trademarks, software, and technology on the Platform are owned by Bseech or its licensors and are protected by copyright, trademark, and patent laws.

You grant Bseech a non-exclusive, royalty-free license to use user-generated content as necessary to operate the Platform. No other rights are transferred.

Bseech may suspend or terminate your account immediately for: (a) violation of these Terms; (b) failure to maintain current identification/verification; (c) suspected fraud or illegal activity; or (d) as required by law enforcement or regulatory bodies (e.g., FinCEN, IRS).

Upon termination, any pending transactions may be frozen pending investigation, and funds may be held for up to 180 days to satisfy tax or legal obligations.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Bseech does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BSEECH, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.

Total aggregate liability shall not exceed the amount of fees paid by you to Bseech in the preceding six (6) months.

You agree to indemnify, defend, and hold harmless Bseech and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your breach of these Terms; (b) your violation of any law or third-party rights; (c) any tax authority claim related to your unreported income; or (d) your provision of false identification information.

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State] and applicable U.S. federal law, including the Bank Secrecy Act (BSA), USA PATRIOT Act, and Internal Revenue Code, without regard to conflict of laws principles.

Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively through binding, confidential arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall take place in [City, State]. You waive any right to participate in a class action, class arbitration, or representative action. Judgment on the arbitration award may be entered in any court having jurisdiction.

These Terms constitute the entire agreement between you and Bseech. If any provision is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
